We are looking for a legal counsel to join our central London headquarters to support with initiatives both on the corporate side of the business including fundraises and acquisitions and the core commercial activities of the Company across our current London, Kiev, and US locations. You will provide advice and guidance across a broad spectrum of areas including corporate, commercial, data privacy, IP, IT, incentives and employment law. Success in this role will be providing commercial advice to the business which is strategic, commercial and user-friendly, establishing excellent working relationships with colleagues and external counsel and ensuring that corporate transactions run smoothly.  This is a rare and stimulating opportunity to gain broad, hands-on experience and influence a business during exciting growth and exit plans.  This role will report directly to the General Counsel, who sits on the Leadership Team.

Job description

Medium+ level lawyer to join our existing General Counsel to form a new legal team:

  • Funding rounds, acquisitions and exit opportunities: Support on corporate transactions, including drafting, negotiating, due diligence, transaction management, liaising with external counsel where required.
  • Corporate: Managing corporate housekeeping matters and regulatory compliance, especially as the Company hits key size and revenue thresholds, with a strong focus on ESG matters.  Liaising with the HR and Finance team in relation to the Company’s EMI scheme. Ongoing investor/lender liaison and compliance.
  • Commercial: Draft, review, negotiate and advise internal stakeholders (and negotiate with external counterparts) on a variety of commercial agreements. These may include retail operations, tech and software, employment, and marketing agreements.
  • Risk Management: Identify and consult on legal risks across the business.
  • Operational Processes: Develop and implement processes for efficient and streamlined operations surrounding contract negotiation and processes
  • Review and manage ongoing data privacy compliance and processes across the business.
  • Systems: Develop and maintain form agreements and contract management systems

Skills you’ll need to have

You will have this unique blend of knowledge, skills and experience:

  • Spent 3-4 years+ PQE with strong experience in corporate transactional work preferably with some commercial/advisory experience law at a top law firm.  
  • Hold a current practicing certificate
  • Have excellent academic and law firm credentials
  • Are a supportive, flexible team member who also delights in working autonomously with a high degree of independence and initiative. 
  • Have excellent organizational skills, and an ability to manage multiple projects at once, to prioritise and meet deadlines.
  • Have common sense, a strong commercial emphasis, are smart and results driven, and flourish working in an entrepreneurial environment. 
  • Are kind and considerate of others, are able to form strong working relationships built on trust.
  • Experienced in some or all of the following:  corporate law, commercial contract matters, IP, IT and Data Protection, and a willingness to take on and learn in areas without prior experience.
  • Prior in-house experience preferred.
