The Role

Jellysmack is seeking an enthusiastic, detail-oriented Legal Affairs Counsel to join our Global Legal team to work on our general commercial and corporate legal matters. This individual will assist the Global Legal team and other company leadership in creating processes, advising on legal risks and business strategies, and providing counsel and day-to-day support on a wide range of contracts and issues.

This position requires cross-functional collaboration with our global offices (including Los Angeles, New York and Paris). Ideally, this individual will be located in Southern California, New York or Texas area, but the position is a remote-first position.

The Responsibilities

• Reporting to the General Counsel, you will provide hands-on legal counsel to business and legal colleagues locally and worldwide to support the global business.
• Manage subsidiary formations, dissolutions, and required regulatory filings, including drafting or approving articles and bylaws, in compliance with local requirements.
• Manage corporate governance and administration for the company and its domestic and foreign subsidiaries, including drafting and maintaining corporate resolutions, minutes and records.
• Draft, negotiate and review a wide variety of commercial contracts, including licensing, technology, advertising, master services agreements, statements of work, nondisclosure agreements, vendor agreements, and other operational contracts.
• Assist with mergers and acquisitions and other strategic transactions.
• Assist with intellectual property matters, including managing company’s trademark portfolio

The Qualifications

• Licensed to practice as an attorney in the location where they will work (CA or NY admission preferred).
• Minimum of 3 years of relevant legal experience in a high-volume, fast-paced legal environment.
• Experience with corporate, data protection, privacy, digital media and/or internet industries a plus.
• Excellent written and verbal communication skills, including great attention to detail and proofreading skills.
• Great multi-tasker with excellent judgment and the ability to prioritize as necessary to effectively meet deadlines.
• Desire and ability to work closely and collaboratively with legal and business team members while proactively and independently taking ownership of projects within the scope of the role.
